1. Agreement to terms These Terms of Service (“Terms”) govern your access to and use of the DeltaDaemon website, dashboards, APIs, documentation, and related services (collectively, the “Service”), operated by DeltaDaemon (“DeltaDaemon,” “we,” “us,” “our”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service. 2. Eligibility and accounts You must be able to form a binding contract in your jurisdiction to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. 3. The Service DeltaDaemon provides data products and analytics related to forecast accuracy (e.g., error, variance, bias) derived from third-party sources and presented through the Service. The Service may change over time, including features, endpoints, and availability. 4. Not financial advice; no guarantees DeltaDaemon does not provide investment, trading, legal, or tax advice. Any outputs, metrics, or analysis are for informational purposes only. Forecast and market outcomes are uncertain. You are solely responsible for your decisions, use of the Service, and any actions taken based on information provided. 5. API usage and keys 5.1 API keys and security If we issue you API keys or tokens, you must keep them confidential and secure. You are responsible for all use of your keys. You must notify us promptly if you believe a key is compromised.
5.2 Rate limits and fair use We may enforce rate limits, quotas, and other usage controls by plan or for abuse prevention. We may throttle, suspend, or terminate access if usage is excessive, abusive, or threatens Service stability.
5.3 Prohibited scraping and reverse engineering You may not attempt to circumvent access controls, probe, scan, reverse engineer, or extract the Service or underlying datasets in a way that materially substitutes for the Service, except as explicitly permitted. 6. Webhooks (if offered) If you configure webhooks, you are responsible for the endpoint you provide, including security, authentication, and availability. Webhook delivery is typically “at least once,” meaning duplicate events may occur. You should implement idempotency. We do not guarantee delivery timing. 7. Payments, subscriptions, and refunds 7.1 Billing If you purchase a paid plan, you authorize us (and our payment processors) to charge your selected payment method for recurring fees and applicable taxes.
7.2 Changes and cancellations You may cancel anytime. Unless required by law, fees are generally non-refundable and prorations are not guaranteed. We may change pricing or plan features with reasonable notice.
7.3 Chargebacks and fraud We may suspend accounts involved in chargebacks, suspected fraud, or misuse. 8. Acceptable use You agree not to:
- violate any law or regulation;
- infringe intellectual property or privacy rights;
- transmit malware or attempt unauthorized access;
- interfere with Service integrity, availability, or security;
- use the Service to harass, abuse, or harm others.
9. Intellectual property We own or license the Service, including software, content, and branding, excluding your content. You receive a limited, non-exclusive, non-transferable right to use the Service according to these Terms. 10. Your content and feedback 10.1 Your content If you submit content (e.g., webhook URLs, configuration, support messages), you grant us the rights necessary to operate the Service and provide support.
10.2 Feedback If you provide feedback, you grant us a worldwide, royalty-free license to use it to improve the Service, without obligation to you. 11. Third-party services and data The Service may integrate with or rely on third-party services (e.g., identity providers, payment processors, infrastructure, public data sources). We are not responsible for third-party services or their availability, accuracy, or terms. 12. Termination We may suspend or terminate access if you violate these Terms, fail to pay, or if continued operation creates risk to the Service or other users. You may stop using the Service at any time. 13. Disclaimers THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR ACCURATE. 14. Limitation of liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, DELTADAEMON WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (OR $100 IF YOU HAVE NOT PAID). 15. Indemnification You agree to indemnify and hold harmless DeltaDaemon from claims arising out of your use of the Service, your breach of these Terms, or your violation of law or third-party rights. 16. Governing law These Terms are governed by the laws of the State of Delaware, U.S.A., excluding conflict-of-law rules. Venue for disputes will be in Delaware, unless required otherwise by law. 17. Changes to these Terms We may update these Terms from time to time. If changes are material, we’ll provide reasonable notice (e.g., on the website or via email).
